We purchase automotive and vehicle related real estate and
simultaneously lease it back under long-term, triple-net leases.
We believe we are the only company in America with this focus
which also acquires real estate from vehicle rental, service,
and repair outlets, and motorcycle, recreational vehicle,
motorhome, construction and farm implement retail dealers.
We focus on leasing properties to dealership operators with
long histories of operating multi-site, multi-franchised locations
and work with both larger and smaller vehicle dealers.
We are not limited by geography and can purchase real estate
located anywhere in the United States. In general, we seek
to purchase real estate from dealerships operating in the
largest or fastest growing metropolitan areas in the U.S.
in terms of population, income, and/or wealth.
We can utilize an “UPREIT” structure, meaning
dealers may be able to sell their real estate in a tax efficient
and tax deferred structure.
Our objective is to maximize the spread between our capital
utilized and capital deployed (also known as our Yield Spread)
while also providing dealers with a maximum sale price. To
achieve these objectives, we:

Implement a disciplined acquisition program
by purchasing properties that have demonstrated historic
growth, are well managed, maintained in good condition,
and with location attributes suitable for alternative
use. |

Use rigorous valuation methods, including a detailed
evaluation of a subject dealer’s financial strength,
to determine the price and lease terms for the properties.

Use our capital stock structure (including UPREIT shares)
to acquire dealer properties in exchange for both stock
and cash, thereby deferring some or all of a Seller's
potential taxable gain. |

Lease back the properties on a long term triple-net
basis. |

Negotiate lease covenants which are fair to Selling
dealers and which also will minimize the likelihood of
losses. |

6. |
Utilize a variety of proprietary financing and credit
sources to complete transactions.
